Irrespective of the delivery platform you use or of how the STI Content (defined below) is delivered to or accessed by you, by accessing and/or subscribing to and/or using the Straits Times Interactive ("STI") website and the online content/services available on it ("STI Content") you are agreeing to be bound by these terms and conditions. If you use the STI website in the course of your business, you are also agreeing to these terms and conditions on behalf of that business and should also read the section regarding At Work Use. Changes to Terms and Conditions STI website - Privacy Statement These terms and conditions were last updated on 25 September 2006 and replace all previous terms and conditions for the STI website. STI may change, alter or withdraw any part of the STI website at any time (with or without notice to you) and may also change the terms and conditions. STI will publish details of any changes to the terms and conditions in Section 13 below. You should regularly check Section 13 of these terms and conditions to see if any changes have been made - by using the STI website after we have posted the changes, you are agreeing to be bound by them. If you do not agree to the changes you should cease using the STI website and you may cancel your subscription to any Subscription Service in accordance with applicable terms set out below. References in these terms and conditions to "STI" (or "we", "us" or "our") refer to the company operating the STI website, see the Corporate Information section below for more details. From time to time STI will run competitions, promotions and surveys on the STI website. These are subject to additional terms and conditions that will be made available at the time they are run. 1. Access and Use Before the STI Content is accessible, a user is required to register to become a paying subscriber. STI reserves the right to change the manner in which STI Content is made available or accessible to users. Certain sites or pages are only for use by users in the Republic of Singapore - see Section 11 below for details. Permitted Use: All STI Content belongs to STI or its licensors. STI or its licensors own all intellectual property rights (including copyright and database rights) in the STI Content and any selection or arrangement of the STI Content. You may for your personal, non-commercial use: - retrieve and display STI Content on any compatible device; - print a single copy of individual articles on paper (but not photocopy them); and - store such articles in electronic form on disk or on a mobile device (but not on any server or other storage device connected to a network). You may also on an occasional and infrequent basis email headlines appearing on the STI website (but not full text articles) to a maximum of five individuals using our 'Email Article' service, provided that you shall not use this function for the purpose of either creating a commercial or revenue-generating service or regular information dissemination within any organization or other entity: if you would like to use the STI website headlines in this way please refer to the "At Work Use" paragraph below. Restrictions on Use: You may not use the STI website for any unlawful purpose. Except as expressly set out above, you may not copy, reproduce, publish, broadcast, transmit, modify, adapt, create derivative works of, store, archive, publicly display or in any way commercially exploit any of the STI Content. Without limitation, you may not do any of the following without prior written permission from STI (and neither may you allow a third party to do any of the same): - redistribute any of the STI Content, including our headlines (including by using it as part of any syndication, news or content aggregation, library, archive or similar service); or - deep link to, frame, spider, harvest or scrape the STI Content or otherwise access the STI Content for similar purposes; or - create a database in electronic or structured manual form by systematically and/or regularly downloading/printing and storing all or any of the STI Content; or - remove the copyright or trade mark notice from any copies of STI Content made under these terms and conditions; or - use any machine, electronic, web based or similar device to read or extract the STI Content by automated or machine based means. You acknowledge that "Straits Times Interactive", "ST Interactive" and "The Straits Times" are proprietary trade marks ("trade marks" includes service marks) and that you may not use them without prior written permission from STI. Linking: If you would like to link to the STI website, please read and comply with the following guidelines and all applicable laws. A site or service that links to the STI website: - may display an STI logo and/or masthead but must not otherwise use any STI trade marks without permission from STI; - may link only to the homepage of the STI website unless STI has otherwise given prior written permission; - may not remove, distort or otherwise alter the size or appearance of the logo; - must not be a site or service that contains content that could be construed as distasteful or offensive; - must not in any way imply that STI is endorsing it or its products or services; - must not misrepresent its relationship with STI or present false information about STI; - must not be a site or service that infringes any intellectual property or other right of any person or that otherwise does not comply with all relevant laws and regulations. STI expressly reserves the right to require that any link in breach of these terms and conditions be removed and to take whatever other action it deems appropriate. At Work Use: If you are using the STI website in an "at work" capacity (whether for a company, partnership, public sector body, club, association, charity, etc.) and your use extends beyond personal, non-commercial use then you should contact STI's Content Sales Team at stics@sph.com.sg to discuss your business requirements, since it is possible that your use of STI Content extends beyond what is permitted by these terms and conditions. In particular, all requests to republish, redistribute or syndicate STI Content, whether headlines, full text articles (or parts thereof) or the right to use STI Content internally within your business (for example, as part of a regular information dissemination service or on a company Intranet) or any external use that you may make (for example, within client reports or briefings) should be addressed to us, as such use falls outside the scope of use permitted by these terms and conditions. Privacy Statement and Registration All information received by you from your use of the STI website may be used by STI and such use shall be in accordance with our Privacy Statement. On registration, you must provide STI with accurate, complete registration information and it is your responsibility to update and maintain changes to that information on the applicable the STI website registration pages. STI is entitled to rely on any information you provide to us. Each registration is for a single user only. On registration, you will choose a user name and password ("ID"). STI does not permit any other person sharing your ID or access through a single ID being made available to multiple users on a network. STI may cancel or suspend your access to the STI website if you do this without further obligation to you. You are responsible for all use of the STI website made by you or anyone else using your ID and for preventing unauthorised use of your ID. If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your ID or any payment information, you must notify STI immediately by e-mailing stics@sph.com.sg If you provide STI with an email address that will result in any messages STI may send you being sent to you via a network or device operated or owned by a third party (e.g. your employer or college) then you warrant that you are entitled to receive those messages. You also agree that STI may refrain from sending messages to you without notifying you, even if you have subscribed to receive them, if we receive a request from a third party to stop sending messages to you. If you subscribe to the STI website Subscription Services (see Section 8 below) then you may choose to use the "Remember me" log in feature that enables you to be logged in automatically to the STI website whenever you visit without having to manually log in each time. However, we recommend that you do not enable this feature on any computer that is or may be used by anyone other than you in order to prevent unauthorized access by third parties to both your subscription details and features of the STI website personal to you. 3. Technical Requirements and Site Security The STI website is best viewed using the Internet browsers IE6 or Netscape 7 at 800x600 resolution. Any older browser versions may work but users could have limited browsing capability. Any payment information you send to us over the Internet is encrypted using 128 bit Secure Socket Layer technology. SSL is currently the preferred method to securely transfer credit card data over the Internet. 4. Exclusion of Liability The STI Content is only for your general information and use and is not intended to address your particular requirements. In particular, the STI Content does not constitute any form of advice, recommendation, representation, endorsement or arrangement by STI and is not intended to be relied upon by users in making (or refraining from making) any specific investment or other decisions. Appropriate independent advice should be obtained before making any such decision. Any agreements, transactions or other arrangements made between you and any third party named on (or linked to from) the STI website are at your sole risk and responsibility. Any information that you receive via the STI website whether or not it is classified as "real time", may have ceased to be current by the time it reaches you and share price information may be rounded up/down and therefore not entirely accurate. STI is not responsible for any use of the STI Content by you outside its scope as stated in these terms and conditions. No Warranty: STI does not give any warranty in respect of the STI website. To the extent permitted under applicable law, STI hereby disclaims all warranties, conditions or duties of every nature whatsoever, including without limitation, any implied warranties of quality, merchantability or of fitness for a particular purpose, any express or statutory warranties, and any warranties or duties regarding accuracy, timeliness, completeness, performance, availability or lack of negligence. There is no warranty that the STI website is free from infection by viruses or anything else that has contaminating or destructive properties. Exclusion of Liability: To the fullest extent permitted under applicable law, STI shall not be liable to you for any loss or damage which relates to your business or investment choices whether or not as a direct or indirect consequence of your use of the STI website (including lost profits or loss of privacy or loss of or damage to data). In addition to but separate from the above specific exclusion and to the fullest extent permitted under applicable law, STI shall also not be liable to you for any other indirect, special, consequential, incidental, punitive or exemplary damages whatsoever that arise out of or are related to your use of the STI website. The above disclaimers and exclusion of liability apply equally to your use of the STI website and all STI Content. Without limitation to the above, STI is not liable for matters beyond its reasonable control. 5. Third Party Sites and Services The STI website contains links to other Internet websites or online and mobile services provided by independent third parties ("Third Party Sites"), either directly or through frames. Third Party Sites may be co-branded with STI and so include STI's trade mark. STI is not responsible for the availability or content of Third Party Sites and will not be a party to, or in any way responsible for, any transaction concerning goods or services available from such Third Party Sites. If you purchase products or services from a Third Party Site your contract for such products or services will be with the third party and not with STI. Our Privacy Statement does not apply to Third Party Sites. Copyright in any software that is made available for download from the STI website belongs to STI or its suppliers. Your use of the software is governed by the terms of any licence agreement that may accompany or be included with the software. STI is not responsible for any technical or other issues that may arise if you download third party software. Do not install or use any software unless you agree to such licence agreement. The STI website contains advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the STI website complies with all applicable laws. STI will not be responsible for any error or inaccuracy in advertising or sponsorship material. 6. Governing Law and Jurisdiction These terms and conditions shall be governed by, and construed in accordance with, the laws of the Republic of Singapore. The parties irrevocably agree that the courts of the Republic of Singapore shall have jurisdiction to settle any dispute which may arise out of, under, or in connection with these terms and conditions, and for those purposes irrevocably submit all disputes to the jurisdiction of the courts of the Republic of Singapore. 7. General You may not assign, sub-license or otherwise transfer any of your rights or obligations under these terms and conditions. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect. Failure by either party to exercise any right or remedy under these terms and conditions does not constitute a waiver of that right or remedy. Headings in these terms and conditions are for convenience only and will have no legal meaning or effect. No third party shall have any right under the Contracts (Rights of Third Parties) Act (Cap.53B) to enforce any of these terms and conditions. 8. Services THE STI CONTENT IS AVAILABLE ONLY VIA SUBSCRIPTION ("Subscription Service") WHICH SHALL BE ON AN AUTO-RENEWAL BASIS. STI does not guarantee that the availability of the STI Content will remain available as a Subscription Service. STI reserves the right to alter the Subscription Service and to alter the types of services offered on the STI website and to charge a fee for offering them or to offer them free-of-charge. You agree to pay any subscription fees at the rates in effect when the charges are incurred. In order to subscribe to a Subscription Service, you must provide us with complete and accurate payment information. Payment of subscription may be by way of credit card or cash or cheque. Subscription fees are payable for the Subscription Service as follows: a. Online Only Subscriptions Three different types of online only subscription plans are available: Fixed one-month period for S$15/- (Singapore Dollars fifteen only); Fixed six-month period for S$72/- (Singapore Dollars seventy-two only); and Fixed twelve-month period for S$120/- (Singapore Dollars one hundred and twenty only). b. Online Subscriptions for Print Subscribers Two different types of online subscription plans are available to print subscribers: Fixed six-month period for S$36/- (Singapore Dollars thirty-six only); and Fixed twelve-month period for S$60/- (Singapore Dollars sixty only). Any change in rates (subscription fees) shall be posted on the STI website. Please check the website regularly for the latest rates. 9. Payment Payment online can only be made using a credit card. For other available payment modes such as cash or cheque, please contact us at stics@sph.com.sg or telephone number +65 6388 3838. By submitting credit card and/or other payment details to STI you warrant that you are entitled to purchase the Subscription Service using those payment details. In the case of unauthorised payments STI reserves the right to suspend or terminate your access to the Subscription Service. If we do not receive payment authorisation or any authorisation is subsequently cancelled, we may immediately terminate or suspend your access to the relevant Subscription Service. STI will try to process your subscription promptly but does not guarantee that the Subscription Service will be available to you by any specified time. A contract with you for receipt of the Subscription Service will come into effect when STI sends you an email confirming your subscription. STI reserves the right to suspend or terminate your subscription to the Subscription Service if you breach these terms and conditions, with or without notice and without further obligation to you. STI will charge you in Singapore Dollars and any applicable taxes shall be payable by you. You will not receive a bill for your subscription. We will bill all charges automatically to your credit card. Subscription fees will be billed at the beginning of your subscription or any renewal. 10. Cancellation & Renewal Cancellation You may cancel your subscription by contacting stics@sph.com.sg or telephone number +65 6388 3838. There will be no refund nor rebate if a subscription is cancelled or terminated during the term of your initial subscription or any renewal period, in the absence of any fundamental breach by STI of these terms and conditions. Renewal Your subscription will renew automatically, for the same one-month, six-month or twelve-month term as stated in your initial subscription, unless we terminate it or if you cancel it by contacting stics@sph.com.sg or telephone number +65 6388 3838. IF YOU DO NOT WISH TO RENEW, YOU MUST CANCEL YOUR SUBSCRIPTION AT LEAST FOUR (4) WEEKS BEFORE THE RENEWAL DATE IN ORDER TO AVOID BEING BILLED FOR THE RENEWAL TERM ON YOUR CREDIT CARD. 11. Money Section and Invest Section If you are using either the Money section or the Invest section of the STI website, please read this Section 11 which will apply in addition to the above Sections 1 to 10: THE MONEY AND INVEST SECTIONS OF THE STI WEBSITE ARE FOR USE BY USERS IN THE REPUBLIC OF SINGAPORE ONLY. The information published on these pages is intended to be for your general information only. You should not rely upon their contents in making any particular investment or other decision which should only be made after consulting with a fully qualified financial adviser. The contents of these pages do not nor are they intended to constitute any form of investment advice or any inducement, invitation or recommendation relating to any of the products listed or referred to. Any arrangement made between you and a third party named on or linked to from these pages is at your sole risk and responsibility. STI does not sponsor, endorse or promote any financial products. 12.
